Bucur S.A. informs shareholders and investors about the approval of the merger by absorption project between BUCUR S.A., as the absorbing company, and the companies Casa de Bucovina - Club de Munte - S.A. and Semrom Oltenia S.A., as absorbed companies. The price used to compensate fractional shares resulting from the exchange ratio of shares from the absorbed companies Casa de Bucovina - Club de Munte - S.A. and Semrom Oltenia S.A. into shares issued by the absorbing company BUCUR S.A. is approved, which will be paid by Bucur S.A. through Banca Comerciala Romana S.A., acting as payment agent, the price for one Bucur S.A. share being 1.0887 RON/share. The registration date of December 7, 2026, the ex-date of December 4, 2026, the payment date of December 8, 2026, and December 16, 2026 as the payment date for fractional shares resulting from the application of the specific merger algorithm are approved.
